Terms of Service

1. Agreement to These Terms

These Terms of Service (the "Terms") form a binding contract between you and Waldo governing your access to and use of the Waldo mobile application and related services (the "Platform"). By creating an account, or by accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy (workwithwaldo.com/privacy) and Acceptable Use Policy (workwithwaldo.com/acceptable-use), which are incorporated by reference. If you do not agree, do not create an account or use the Platform.

These Terms are versioned by date (see "Last Updated" above). When we make material changes, we will notify you in the app, summarize what changed, and ask you to review and accept the updated Terms before continuing to use the Platform (see Section 23). Your acceptance of each version is recorded with a timestamp.

These Terms are available in French and English (see Section 24).

2. Operator of the Platform

The Platform is operated by 9567-4669 Québec inc., operating as "Waldo" ("Waldo," "we," "us," or "our"), from Montreal, Quebec, Canada. You can contact us at any time at info@workwithwaldo.com.

Waldo is an online technology platform. Waldo is not a staffing agency, recruiter, employer, employment intermediary, agent, joint employer, or co-employer. Waldo provides neutral software tools that enable users to connect. Waldo does not participate in employment negotiations, hiring decisions, compensation arrangements, or workplace management.

3. Nature of the Service – Technology Platform Only

Waldo provides a neutral online technology platform that enables users to create profiles, post job opportunities, schedule interviews (including phone interviews), and communicate with one another. Waldo's role is strictly limited to providing software tools that facilitate introductions between users.

Waldo does not:

  • Recruit on behalf of businesses
  • Select, refer, or recommend candidates
  • Participate in hiring decisions
  • Negotiate compensation
  • Set wages
  • Schedule shifts
  • Supervise workers
  • Direct job performance
  • Control workplace conditions
  • Provide employment advice
  • Independently verify qualifications, references, identity, background, or work eligibility (see Section 6 for the scope and limits of our automated age-eligibility screening)

4. No Employment, Agency, or Partnership Relationship

Waldo is not a party to any employment agreement. No joint venture, partnership, agency, franchise, or employment relationship is created between Waldo and any user by virtue of using the platform. All employment relationships formed as a result of introductions made through Waldo are solely between the business and the seeker.

Businesses and seekers independently determine: Compensation, Scheduling, Duties, Duration of employment, Termination. Waldo does not control or influence these decisions.

5. Eligibility and Your Account

To create a seeker account, you must be at least 14 years old and legally authorized to work in your jurisdiction. To create a business account, you must be authorized to act on behalf of the business. By creating an account, you represent and warrant that you satisfy these requirements and that the information you provide is accurate and kept up to date.

You may maintain only one account. You are responsible for safeguarding your sign-in credentials and for all activity under your account. If you suspect unauthorized access, notify us promptly at info@workwithwaldo.com.

If you are under the age of majority, you confirm that a parent or legal guardian has reviewed these Terms with you and agrees to them on your behalf.

6. Age-Eligibility Screening

Seekers provide their date of birth during onboarding. We use it exclusively to (a) confirm that a seeker meets the minimum legal working age (14 in Quebec) and (b) apply the minimum age attached to certain job postings (for example, adult-restricted positions, set at 18 or 19 depending on the region). Screening is automated, is re-evaluated as seekers get older, and is enforced when a seeker views, likes, or matches with an age-restricted job. Our Privacy Policy describes how date-of-birth information is stored and protected.

Age screening relies on information provided by users. Waldo does not independently verify dates of birth, identity, credentials, or work eligibility, and does not guarantee the accuracy of user-provided information. Age gates are a compliance aid, not a compliance guarantee: businesses remain solely responsible for complying with youth-employment and age-related laws, and seekers remain solely responsible for applying only to roles for which they are legally eligible.

7. Sole Responsibility of Businesses

Businesses are solely responsible for:

  • Compliance with employment standards legislation
  • Minimum wage and overtime laws
  • Workplace safety regulations
  • Human rights and anti-discrimination laws
  • Youth employment laws, including verifying age eligibility where required
  • Tax withholding and payroll obligations
  • Workers' compensation requirements

7.1 Job Postings

Businesses are solely responsible for ensuring that all job postings, including listed compensation and any minimum-age requirement, comply with applicable employment and wage laws. Waldo does not review, approve, validate, or verify wage information or legal compliance of job postings. Waldo is not responsible for discrepancies between posted job information and final employment terms agreed upon between users.

8. Sole Responsibility of Seekers

Seekers are solely responsible for:

  • Accuracy of their profile information, including their date of birth
  • Truthful representation of qualifications
  • Evaluating the suitability of job opportunities
  • Reviewing employment contracts before acceptance
  • Ensuring legal eligibility to work

Waldo does not verify identity, credentials, licenses, or work eligibility. The automated age screening described in Section 6 is subject to the limits stated there.

9. Matching, Age Gates, and Neutrality

Waldo's matching system is based on user activity, mutual engagement, and alignment of job categories or preferences. Waldo does not use protected characteristics (including but not limited to gender, race, religion, disability, or sexual orientation) as ranking or filtering criteria in its matching system.

The only exception is age, and only where the law requires or permits it: jobs carrying a legal minimum age are shown only to seekers who meet it, as described in Section 6. These gates reflect legal requirements and the choices of the posting business — not Waldo's judgment about any candidate.

10. User Content

Users may submit or make available content through the platform, including profile information, photos, business information, job postings, messages, interview availability, and other materials ("User Content"). As between Waldo and the user, the user retains ownership of their User Content.

By submitting User Content to or through the platform, the user represents and warrants that they own that User Content or have all rights, licenses, consents, and permissions necessary to submit it, and that the User Content does not infringe, misappropriate, or violate the intellectual property, privacy, publicity, contractual, or other rights of any person or entity.

The user grants Waldo a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, modify only as necessary for technical purposes, transmit, display, distribute, and otherwise use User Content solely as needed to operate, provide, maintain, secure, improve, and promote the platform and its features. This license ends within a commercially reasonable time after the User Content is deleted from the platform, subject to backup retention, legal obligations, and any anonymized or aggregated data derived from platform use.

Waldo may review, remove, restrict, disable access to, or refuse to display any User Content that Waldo believes violates these Terms, the Acceptable Use Policy, applicable law, or the rights of others.

10.1 Copyright and Infringement Notices

If a person believes that content on the platform infringes their rights, they may contact Waldo at info@workwithwaldo.com with sufficient detail for Waldo to review the report. Waldo may investigate and remove or disable access to the reported content at its discretion.

11. Interviews and Off-Platform Communications

The platform may allow users to schedule interviews, including phone or video interviews. Phone calls or video interviews occur outside of the Waldo platform. Waldo does not:

  • Record calls
  • Monitor off-platform communications
  • Control interview discussions
  • Guarantee the conduct of users during interviews

Any communication occurring outside the platform is solely between users.

12. Acceptable Use

Your use of the Platform is subject to our Acceptable Use Policy (workwithwaldo.com/acceptable-use), which is incorporated by reference. We may remove content, restrict features, or suspend accounts that violate it.

13. Privacy

Our Privacy Policy (workwithwaldo.com/privacy) explains what personal information we collect, the purposes for which we use it, how long we keep it, and the rights Quebec law gives you (access, correction, deletion, and withdrawal of consent). 14. Our Intellectual Property

The Platform — including its software, design, logos, trademarks, and content created by Waldo — is owned by Waldo and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose, in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, scrape, or reverse engineer any part of the Platform except as permitted by applicable law. If you send us suggestions or feedback about the Platform, you grant us the right to use them without restriction or compensation.

15. Monitoring and Moderation

Waldo has no obligation to monitor user activity, communications, or job postings. While Waldo may remove content or suspend accounts at its discretion, Waldo does not assume responsibility for user conduct.

16. Assumption of Risk

Users acknowledge that employment decisions involve inherent risk and that Waldo does not guarantee outcomes. Users are responsible for conducting their own due diligence before entering into any employment relationship. Use of the platform is entirely at the user's own risk.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the platform is provided "AS IS" and "AS AVAILABLE." Waldo makes no warranties regarding:

  • Platform availability
  • Error-free operation
  • Hiring success
  • Suitability of candidates
  • Accuracy of job postings
  • Accuracy of information provided by users, including dates of birth

Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law, including rights under Quebec's Consumer Protection Act.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Waldo shall not be liable for indirect, incidental, consequential, special, or punitive damages, and Waldo's total aggregate liability shall not exceed $100 CAD.

Nothing in this section limits or excludes liability that cannot be limited or excluded under applicable law, including liability for intentional or gross fault, liability for bodily or moral injury (article 1474 of the Civil Code of Quebec), or rights that cannot be waived under the Consumer Protection Act.

19. Indemnification

Businesses agree to indemnify, defend, and hold harmless Waldo and its owners from any claims, damages, losses, liabilities, and legal expenses arising from:

  • Employment disputes
  • Wage claims
  • Workplace injury claims
  • Human rights complaints
  • Harassment or discrimination allegations
  • Violations of labor or tax laws
  • Job postings they publish
  • Misrepresentation by users

To the fullest extent permitted by applicable law, seekers agree to indemnify Waldo against claims arising from their own misrepresentation or unlawful use of the Platform. This section survives termination of use of the Platform. Nothing in this section limits rights that cannot be waived under the Consumer Protection Act.

20. Suspension and Termination

Waldo may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy, or that create risk or legal exposure for Waldo or other users. Where reasonable, we will give notice and an opportunity to resolve the issue first.

You may delete your account at any time in the app settings; deletion removes your personal information as described in the Privacy Policy. Sections that by their nature should survive termination (including Sections 10, 16, 17, 18, 19, and 22) do so.

21. App Store Terms

If you downloaded the app from the Apple App Store or Google Play, you acknowledge that: (a) these Terms are between you and Waldo only, not with Apple or Google; (b) Apple and Google have no obligation to provide maintenance or support for the app; (c) Apple and Google are not responsible for the app or its content; and (d) Apple and Google, and their subsidiaries, are third-party beneficiaries of these Terms and may enforce them against you. You must also comply with the applicable app store's own terms of service.

22. Governing Law and Disputes

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Subject to rights that cannot be waived under applicable law (including the Consumer Protection Act), any disputes shall be submitted to the courts of the judicial district of Montreal, Quebec.

Before filing a claim, contact us at info@workwithwaldo.com — most issues can be resolved informally, and we will try to resolve yours within 30 days.

23. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you in the app, summarize what changed, and ask you to review and accept the updated Terms before you continue using the Platform. The "Last Updated" date above always identifies the current version, and your acceptance of each version is recorded.

If you do not accept the updated Terms, you must stop using the Platform and may delete your account in the app settings. Non-material changes (such as clarifications or formatting) take effect when posted.

24. Language

These Terms are available in French at workwithwaldo.com/fr/conditions and in English at workwithwaldo.com/terms. For users in Quebec, the French version governs unless you expressly choose the English version after being presented with the French one. In case of any inconsistency between the two versions, the French version prevails for users in Quebec.

25. General

These Terms, together with the Privacy Policy and the Acceptable Use Policy, form the entire agreement between you and Waldo regarding the Platform. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to Waldo may be sent to info@workwithwaldo.com.
